Competition Terms and Conditions


Panacea Stars is a deep science translation vehicle created and administered by Panacea Innovation Ltd, a company registered in England and Wales with company number 09378046, whose registered office is at The Magdalen Centre, Oxford Science Park, 1 Robert Robinson Ave, Oxford, OX4 4GA.

By registering for Panacea Stars, you are agreeing to be bound by these terms and conditions in addition to our privacy policy (LINK TO PRIVACY PAGE). In particular, we draw your attention to the section below headed “Our Liability”.

Eligibility

Details of how to enter Panacea Stars are available on our website at https://www.panacea-stars.com (the “Website”).

The programme is open to all students, academics, scientists industry professionals and other aspiring entrepreneurs aged 18 years or over.

In order to claim the prize, we may require you and your team to form a limited company or other corporate vehicle to whom that prize may be awarded, in order to ensure that the prize is applied appropriately. The winning team may be advised on incorporation by mentors participating in the competition. Because we may require you to form a corporate entity, the competition is not open to any individual who has previously been disqualified by any regulatory body from being a company director under the laws of any territory. Foreign nationals may enter the competition but must ensure that at least one team member is legally eligible to act as a company director in the UK.

All entrants must be entitled to use any intellectual property they contribute to and create for and during the Panacea Stars competition for the purposes of the competition and for the purposes described in their business plan. We recommend that entrants consult with their academic and research institutes before applying for Panacea Stars to ensure that they are able to contribute and use any relevant intellectual property.

By entering the Panacea Stars competition, you confirm that you are eligible to do so and eligible to claim the prize. We may require you to provide proof that you are eligible to enter the competition. We reserve all rights to disqualify you if your conduct is contrary to the spirit or intention of the competition.

Judging

The competition entries will be judged by a panel of judges based on criteria, which will be communicated to you in the course of the competition.

A list of names of the judges can be viewed at the relevant webpage and will be available for at least one month after the Grand Finale. The decisions of the panel of judges will be final.

The finalists will be notified by email as per the dates announced on the relevant page. The winner and runner-up will be announced at the Grand Finale and the details of the winner, runner-up and other finalists will be available on our Website for at least one month after the Grand Finale.

Mentors

During the course of the competition mentors may be made available to competing teams. Each mentor and team will be asked to enter into a non-disclosure agreement to ensure that obligations of confidentiality are in place regarding the teams’ confidential information. However, each team is responsible for ensuring that it does not disclose any confidential information to any mentor (or any other person) other than under obligations of confidentiality.

You agree that we will not be liable for any loss or damage arising from the conduct of any mentor during the course of or in connection with the competition.

Intellectual Property Rights

We are the owner or the licensee of all intellectual property rights in the Website, and in the material published on it, including the trade marks “Panacea Innovation”, “PanacaStars”, and “Panacea Ventures”. Those works are protected by intellectual property laws and treaties around the world. All such rights are reserved. You must not use any part of the materials on the Website for commercial purposes without obtaining a licence to do so from us or our licensors.

Subject to any existing or future agreement, you will retain all intellectual property rights created by you during your participation in Panacea Stars. However, in order to protect those rights, we recommend that you take legal advice as to what innovations are disclosable. By registering for Panacea Stars, you grant us a non-transferable, royalty-free, worldwide, perpetual, irrevocable licence to use your team name, team description, one-line pitch and non-confidential idea description for marketing purposes.

Our Liability

To the fullest extent permitted by law: we expressly exclude all conditions, warranties and other terms which might otherwise be implied by statute, under the common law, or otherwise; and we expressly exclude any liability for any direct, indirect or consequential loss or damage incurred by you in connection with the Website or in connection with your participation in Panacea Stars, however caused.

Prize

The prize is intended to enable to winner to turn the scientific ideas developed during the competition into marketable products. The winner will therefore only be eligible to receive the prize if:

We reserve the right not to award part/entire prize at our own discretion or if the winner refuses it or is unable to meet the conditions detailed above. The prize will be awarded within a reasonable time following the winner’s compliance with the conditions above.

Acknowledgment and information rights

By joining Panacea Stars, you consent to acknowledge Panacea Stars branding across all relevant digital and written publications related to the company indicated in this application, including, but not limited to, websites, press-releases, pitch decks and social media channels, for a 5-year period or until an exit occurs, whichever is later, starting from the date of accepting the offer to join.

You also consent to provide Panacea Innovation Ltd (or Panacea’s related subsidiaries) with non-confidential bi-annual briefs on capital raises and updated valuations, or when they rise, whichever is sooner. The updates should be communicated for a 5-year period, or until an exit occurs, whichever is later, starting from the date of accepting the offer to join.

Privacy

For the purpose of the Data Protection Act 1998 (the “Act”), we are the data controller. We are committed to protecting and respecting your privacy. For the purpose of the application to Panacea Stars, we may collect and process data contained in information that you provide by registering for Panacea Stars and in your correspondence with us. This information includes, but is not limited to, your name, address, date of birth, email address, information about your company (“Application Data”). The Application Data collected as part of your application to Panacea Stars is subject to the same Privacy Policy as the Personal Data (as defined in the Privacy Policy) collected from your usage of the Website.

Please check these policies before you submit any personal data to the Website. The Act gives you the right to access information held about you. Your right of access can be exercised in accordance with the Act. Any access request may be subject to a fee of £10 to meet our costs in providing you with details of the information we hold about you.

General

If there is any reason to believe that there has been a breach of these terms and conditions, we, at our sole discretion, reserve the right to exclude you from participating in Panacea Stars.

We reserve the right to hold void, suspend, cancel, or amend the Panacea Stars competition where it becomes necessary to do so.

These terms shall be governed by English law, and the parties submit to the non-exclusive jurisdiction of the courts of England and Wales. Any changes Panacea Innovation and/or Panacea Stars makes to these terms in the future will be posted on this page and, where appropriate, notified to you by e-mail.
